These Terms of Service ("Terms") govern your use of the Samruddhi platform, including the website at samruddhi.app and all related services, software, and tools (together, the "Service"), provided by Sonata Design Limited (NZBN 9429033341323), a company incorporated in New Zealand ("Sonata Design", "we", "us", "our").
By creating an account, starting a free trial, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms. In that case, "you" and "your" refer to that business.
1.1 Samruddhi is a software platform for food businesses including cafés, restaurants, food trucks, takeaways, caterers, bakeries, and home/cloud kitchens. The Service includes features such as online ordering, QR menus, point-of-sale, kitchen display, customer database, and catering quote management.
1.2 We may add, modify, or remove features of the Service from time to time. We will use reasonable efforts to notify you of significant changes.
1.3 The Service is provided to businesses for business use only. The Service is not intended for personal or consumer use.
2.1 To use the Service, you must create an account by providing accurate, current, and complete information about yourself and your business.
2.2 You are responsible for keeping your login credentials confidential. You must notify us immediately if you suspect unauthorised access to your account.
2.3 You are responsible for all activity that occurs under your account, including the actions of your staff and authorised users.
2.4 You must be at least 18 years old and legally able to enter into binding contracts in your country of operation.
3.1 We may offer a free trial period of the Service ("Trial"). The Trial allows you to use the Service without charge for a limited time, as specified at signup.
3.2 Unless you cancel before the Trial ends, your subscription will automatically convert to a paid subscription at the rate then in effect, and you will be charged accordingly.
3.3 You can cancel your Trial at any time by following the cancellation instructions in your account dashboard, or by emailing us at support@samruddhi.app.
3.4 No refunds are given for the period of paid subscription that occurs after a Trial converts unless you cancel before the first billing date.
4.1 Paid subscriptions to the Service are governed by the Subscription Plan you select and any specific subscription agreement you sign with us.
4.2 One subscription covers one Site only. A "Site" is one individual physical or mobile business location (one café, one restaurant, one food truck, etc.). Each additional Site requires a separate subscription.
4.3 All subscription fees are payable in advance. Fees are stated in New Zealand Dollars (NZD) and are exclusive of GST. GST will be added at the prevailing rate.
4.4 You authorise us to charge your nominated payment method for all fees and applicable taxes. Payment processing fees charged by third parties (such as Stripe) are separate from subscription fees and are your responsibility.
4.5 If a payment fails, we may suspend your access to the Service until the outstanding amount is paid. We will give you notice before suspending access.
4.6 Fees may be changed with at least 30 days' written notice. Changes apply from your next billing period after the notice period ends.
5.1 You must use the Service only for lawful purposes and in accordance with these Terms.
5.2 You must not:
5.3 You are responsible for ensuring all content you enter into the Service (including menus, prices, descriptions, images) is accurate, lawful, and complies with applicable food safety, consumer protection, advertising, and tax laws.

7.1 Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
7.2 You are responsible for compliance with the Privacy Act 2020 and other applicable privacy laws in respect of personal information of your own end-customers.
8.1 The Service, including all software, designs, logos, trademarks, documentation, and other materials, is and remains the exclusive property of Sonata Design Limited or its licensors. All rights are reserved.

12.2 To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms is limited to the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
